Terms of Service
Version 1.0 — in force since 27 October 2026
These terms govern your use of nia ai, provided by Inopsia AI GmbH, a company incorporated in Switzerland ("we", "us"). By creating an account, accepting an invitation to a workspace, or subscribing to a paid plan, you agree to them. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
1. What the service is
nia ai is a business operations platform covering sales and business development, contracts, delivery, billing and outbound campaigns, with assistance from artificial intelligence models.
We may add, change or withdraw individual features. Where a change materially reduces a feature you are paying for, we will tell you before it takes effect.
2. Your account and your workspace
Your workspace is separate from every other customer's. Only people you invite can see your data. You are responsible for who you invite, for the seats you allocate, and for everything done under accounts in your workspace.
Keep sign-in credentials confidential. Tell us promptly if you believe an account has been compromised.
A workspace administrator can see, change and export all data in that workspace, including work done by other members of it.
3. Plans, prices and payment
Paid plans are charged per seat, per month, in advance. Prices are shown on the subscription page and are exclusive of VAT and any other applicable taxes, which are added where we are required to charge them.
Payments are processed by Stripe. We do not receive or store your card details.
Changing plan or seat count takes effect immediately and is reflected in the following charge. Reducing seats does not produce a refund for the current month.
If a payment fails we will retry it and contact you. Persistent non-payment lets us suspend the workspace after notice; your data is retained during suspension.
4. AI operations included with your plan
Each plan includes a monthly allowance of AI operations. An operation is counted only when work is actually carried out by an AI model on your behalf; routine platform activity, including sending an outbound email whose content was already written, is not counted against it.
The allowance resets at the start of each billing month and does not carry over.
When the allowance is exhausted, background and scheduled AI work pauses. You can continue to use the rest of the platform, upgrade your plan, or buy a top-up pack.
Top-up packs add AI headroom to your workspace and expire three months after purchase. They have no cash value, are not transferable between workspaces, and are not refundable once any part of a pack has been used.
5. AI output
AI-generated drafts, summaries, extractions and suggestions are produced automatically and can be wrong, incomplete or out of date. They are not legal, tax, accounting or professional advice.
You are responsible for reviewing AI output before relying on it, sending it to a third party, or acting on it commercially. We do not warrant its accuracy.
6. Your data
You own the data you put into the platform, including your contacts, documents, contracts and campaign content. We do not sell it, and we do not use it to train AI models.
We process it to provide the service to you: storing it, showing it to the people in your workspace, and passing the parts needed for a given task to the providers named in our privacy policy.
You can export your data from the platform at any time while your account is active. On termination we delete it in line with the retention periods in the privacy policy.
You are responsible for having the right to hold and use the personal data you put into the platform, and for the lawfulness of the messages you send through it.
7. Sending from your own mailbox
Outbound email is sent through a mailbox you connect and control. You remain the sender. You are responsible for complying with the law that applies to your recipients, including honouring opt-out requests and your mailbox provider's own terms.
We provide the tools to schedule, pace and record those messages. We do not guarantee delivery, and a mailbox provider can refuse or limit sending at any time, including where a mailbox sign-in has lapsed.
8. Acceptable use
Do not use the platform to send unlawful, deceptive or harassing messages, to infringe anyone's rights, to attempt to access another workspace, to circumvent usage limits, or to resell access without our written agreement.
We may suspend a workspace immediately where use threatens the security or lawful operation of the platform, and will tell you why.
9. Availability and support
We aim to keep the platform available and to repair faults promptly, but we do not commit to a specific uptime figure. Planned maintenance is announced in advance where practical.
Support is provided by email during Swiss business days.
10. Cancellation
You can cancel a paid plan at any time. Cancellation takes effect at the end of the month already paid for; we do not pro-rate refunds for part of a month.
We can end an account on 30 days' notice, refunding any period paid for but not yet used.
11. Liability
Nothing here excludes liability that cannot be excluded under Swiss law, including for intentional wrongdoing or gross negligence.
Otherwise, our total liability in any twelve-month period is limited to the fees you paid us in that period, and we are not liable for lost profit, lost business, lost opportunity or indirect loss.
12. Changes to these terms
We may update these terms. A change that alters what you have agreed to raises the version number, and you will be asked to accept the new version the next time you sign in. If you do not accept it, you can cancel and we refund any period paid for but not used.
13. Governing law
These terms are governed by Swiss law. The courts at the registered seat of Inopsia AI GmbH in Switzerland have exclusive jurisdiction.
